By using carnationspark.com or submitting audio files for processing (collectively, the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service.
About the Service
Carnation Spark provides meeting intelligence and transcription services. You submit a recorded meeting or audio file; we return a transcript, meeting notes, or other structured output. The Service is operated from Victoria, British Columbia, Canada.
Meeting Recording Consent - User Responsibility
This section is important. Recording laws vary by jurisdiction. Some jurisdictions (including California, Washington State, and others in the United States and elsewhere) require the consent of all parties to a conversation before it may be recorded.
By submitting an audio file to Carnation Spark, you represent and warrant that:
- You have obtained all legally required consents from every participant in the recorded meeting or call before making the recording.
- The recording, and your submission of it to us for transcription, complies with all applicable laws in your jurisdiction and the jurisdictions of all participants.
- You are the lawful owner or authorized custodian of the audio file you submit.
You agree to indemnify and hold harmless Carnation Spark, its operators, and its contractors from any claims, damages, fines, or legal costs arising from your failure to obtain proper recording consent or from any other unlawful use of the recording or transcript.
We do not review recordings for legal compliance — that responsibility rests entirely with you.
Acceptable Use
You agree not to:
- Submit recordings obtained illegally or without required participant consent
- Use the Service to transcribe recordings containing content that facilitates illegal activity
- Attempt to gain unauthorized access to any infrastructure, data, or accounts related to the Service
- Reverse engineer, resell, or redistribute the Service without written permission
- Submit malware or malicious content embedded in audio files
Data Handling
Audio files and transcripts are deleted within 24 hours of delivery. See our Privacy Policy for full details on how your data is handled.
Deliverables and Quality
Transcription accuracy depends on audio quality, speaker clarity, accents, and background noise. We make reasonable efforts to produce accurate output but do not guarantee a specific accuracy rate. If a transcript is substantially unusable due to audio quality issues we should have flagged before processing, contact us and we will work to make it right.
Intellectual Property
Your content is yours. You retain all rights to the audio files you submit and to the transcripts and meeting notes we deliver to you. We claim no ownership over your content.
All other content on this website — text, design, branding, and copy — is owned by or licensed to Carnation Spark. You may not reproduce or redistribute Site content without written permission.
Limitation of Liability
To the maximum extent permitted by applicable law, Carnation Spark is not liable for indirect, incidental, special, or consequential damages arising from use of the Service or this Site. Our total liability for any claim arising from the Service is limited to the amount you paid for the specific order giving rise to the claim.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Third-Party Platforms
Orders may be placed through third-party platforms (such as Fiverr). Those platforms have their own terms and privacy policies, which govern your use of those platforms. These Terms govern Carnation Spark’s handling of your content and the delivery of transcription services.
Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of British Columbia.
Modifications
We may update these Terms at any time. The effective date above will be updated when changes are made. For material changes affecting existing customers, we will provide reasonable notice. Continued use of the Service after changes are posted constitutes acceptance.
